Terms of Service
These Terms of Service (“Terms”) govern your use of the Overdeliver website and the Overdeliver app for Shopify (together, the “Service”), provided by Product Heartbeat (“Overdeliver,” “we,” “us”). By installing the App or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you agree to them on that business’s behalf.
1. The Service
Overdeliver adds shipping features to your Shopify store, including delivery estimates, free shipping incentives, shipping line decorations, an on-time promise, and Corso Post-purchase features. We may add, change, or remove features over time.
2. Eligibility and your Shopify account
You need an active Shopify store to use the App. Your use of Shopify is governed by Shopify’s own terms, and you are responsible for your Shopify account and for anyone who accesses the App through it.
3. Plans, fees, and billing
- Some plans are free. Paid plans are billed monthly through Shopify at the prices shown on our Pricing page at the time you subscribe, plus applicable taxes.
- You can change or cancel your plan at any time in the App. Fees already charged are not refundable except where required by law or by Shopify’s policies.
- We may change our prices with at least 30 days’ notice. Changes apply from your next billing period.
- Corso customers receive every Overdeliver plan free while their Corso subscription is active. If it ends, standard pricing applies after notice.
4. Your responsibilities
- You are responsible for the settings you configure, including order cutoffs, free shipping thresholds, and the discounts or store credit you offer under the on-time promise, and for honoring the promises your store makes to customers.
- You are responsible for your relationship with your customers, including your store’s own policies and notices, and for complying with laws that apply to your business.
- You will not use the Service to break the law, infringe others’ rights, interfere with the Service, or attempt to access it in unauthorized ways.
5. Delivery estimates
Delivery estimates are predictions based on your settings and carrier transit data. Carriers, weather, and other events outside our control can cause delays. We do not guarantee that any shipment will arrive by an estimated date.
6. Third-party services
The Service works with third-party services such as Shopify, shipping carriers, and Corso. We are not responsible for third-party services, and your use of them is governed by their own terms.
7. Intellectual property
We own the Service, including its software, design, and content. We grant you a limited, non-exclusive, non-transferable right to use the Service for your store while these Terms are in effect. You keep ownership of your store data. If you send us feedback, we may use it without obligation to you.
8. Privacy
Our Privacy Policy explains how we collect and use information.
9. Termination
You can stop using the Service at any time by uninstalling the App. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, with notice where reasonable. Sections that by their nature should survive termination will survive.
10. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Overdeliver will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.
12. Indemnification
You agree to indemnify and hold Overdeliver harmless from claims arising from your use of the Service, your store, or your violation of these Terms.
13. Governing law
These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. Disputes will be resolved in the courts located in Benton County, Arkansas.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the “Last updated” date above. If a change is material, we will give reasonable notice. Continuing to use the Service after a change means you accept the updated Terms.
